Terms and Conditions
1. COMPANY AND PARTIES
These Terms & Conditions (hereinafter referred to as the “T&Cs”) apply to the sale and supply of all products from Tales Tailors Lda (hereinafter referred to as “Tales Tailors”). Tales Tailors, VAT number 518619451, owns all intellectual property rights, moral and economic, of its registered brand Mavo Atelier, as well as of all designs that are part of its collection and portfolio. These T&Cs are valid for all products and services commercialized by Tales Tailors under the registered brand Mavo Atelier (also referred to as “Mavo”). The “customer” is understood as a person, a business, a corporate entity, or a registered company that opens a trade account and places an order with Tales Tailors.
2. ACCEPTANCE OF T&C
The Customer is deemed to have read and agreed to our T&Cs by placing an order, making payment, or accepting delivery. The present T&Cs are part of the Price Lists and Proforma Invoices and supersede all previous versions. Upon confirmation of receipt of the Proforma Invoice, the Customer expressly and freely accepts Tales Tailors’ Terms and Conditions of sale. Any attempt to change or add to these T&Cs, as well as any conflicting terms on correspondence, purchase order, or other form sent by the customer is by this means objected to and rejected, as these Terms and Conditions shall govern all orders placed by the customer with Tales Tailors. These T&Cs are subject to change at any time without prior notice.
3. PRODUCTS
Tales Tailors products are made to order (except for Ready To Ship products) and individually handcrafted in Portugal. Each piece is unique, and while we aim to ensure consistency and uniformity across every detail of our products, minor variations may arise, including in color and dimensions. All our upholstered designs are handcrafted with frames in solid wood, and all materials are in accordance with British Standard Regulations or American Standard CAL 117 (USA). Tales Tailors’ products can meet different international standards and regulations.
4. MATERIALS AND FINISHES
All samples and swatches represent only the color and texture and may not perfectly match the finish on the final products. Finishes and materials, like wood, metal, marble, and stone, may vary in color, veining, tone, and character - this is considered part of the natural beauty of raw materials. Products featuring elements in brass and copper will require proper care and polishing over time. Due to the porous nature of brass and copper, slight and unavoidable discrepancies may appear upon production completion. Products, where foundry techniques or other metalwork is applied, may vary in weight due to the nature of these processes. Due to the handmade nature of its products and processes (e.g. wood carving, metalwork), Tales Tailors does not fully guarantee an absolute match of identical finishes in two or more pieces made for separate orders. Fire retardant interlining is available for upholstery products, on request, at a 10% premium. Gold leaf, silver leaf, and copper leaf are available for upholstered products on request. Upholstered products using more than one fabric have a 5% premium. Upholstery without springs is available with springs, on request. For additional information, please, contact hello@mavoatelier.com.
5. CUSTOMER’S OWN MATERIAL (COM)
Under the customer's responsibility, Tales Tailors accepts COM (fabric or leather) for upholstered products, except when noted otherwise in their respective product details. Tales Tailors requests a 10x10cm sample to be sent in advance for approval, before accepting orders with COM. Tales Tailors is not responsible for defects that may arise in the material supplied by the Customer (COM) after completion of the upholstery of the design, considering that the consistency and strength of the fabric may suffer variations due to the shape of the structure where it is applied. Tales Tailors is not liable for production delays in products ordered by the Customer that result directly from (i) delays in COM delivery; (ii) non-labeling of the COM; (iii) and increased difficulties in the production due to the special characteristics of the COM. Tales Tailors inspects all COM shipments that may arrive damaged; however, Tales Tailors is not responsible for material defects. The required measures are based on plain fabric with a standard width of 1.40 meters | 55’’. Large patterns, narrow widths, plaids, or stripes may require additional fabric. Fabrics with patterns and/or shades of color should be sent with indications regarding where and how the patterns and colors should be placed. Square footage for Leather is based on full hides yielding approximately 55 square feet. Additional leather may be required due to irregularities such as shapes or markings. Half hides or calf skins require extra square footage and additional seaming. Leather is a natural product, and therefore imperfections such as scars, wrinkles, and bite marks are part of the beauty of the leather and should be expected. Dye lots may vary from time to time. To avoid possible issues, please place complete orders with the leather supplier. All COM deliveries should be sent prepaid directly to Tales Tailors. Such fabrics should indicate the right and reverse sides and in the case of patterned fabrics, the top and the bottom. All COM packages must include the (i) Customer’s Name; (ii) Customer’s Proforma Invoice Number; and (iii) Any important information/details regarding the order. 6. BESPOKE PRODUCTS
Tales Tailors’ collection is suitable for customization, and we do accept bespoke requests. Tales Tailors reserves the right to assess whether or not the design can be executed under the terms requested. Bespoke products will only be manufactured upon written confirmation by Tales Tailors. The technical drawing/spec sheet of bespoke products must be approved in writing and signed by the customer. All bespoke products, drawings, and prototypes are Tales Tailors’ intellectual and industrial property.
7. CONTRACT & HOSPITALITY ORDERS
Tales Tailors can customize existing or new products to meet contract and hospitality specifications. These orders are subject to special pricing based on quantity, materials, and specifications. All requests for new products’ design and interior design projects will have a five hundred euros (500€) fee. In specific projects, additional fees may apply. All new products, drawings, and prototypes developed by Tales Tailors belong to its intellectual and industrial property.
8. PRICING
All prices refer to one unit, are in euros (€), and exclude VAT (taxes), transport, or any duties. Tales Tailors reserves the right to apply VAT to relevant situations. Our prices include packaging; In case the customer requires a specific package, a surcharge is applied. Tales Tailors reserves the right to update prices, discontinue products and materials, or change specifications without prior notice. Unless otherwise agreed with the customer, a product’s price must be in accordance with the most recent prevailing price list.
9. LEAD TIME
Under normal circumstances, the estimated production lead time is ten (10) to twelve (12) weeks after deposit. For upholstered products with COM, the lead time is put on hold on the third week of manufacture; the lead time resumes once COM is received and properly identified. For bespoke requests and large quantity orders, the production lead time is subject to analysis. The same applies to orders placed during a production overload or contingency period. All products are unique and handmade with unmatched attention to detail, hence, lead time may vary according to each piece's specificities, materials used, and complexity level. Tales Tailors reserves the right to propose and agree with the customer on a production lead time different than the standard one.
10. ACCOUNTS AND ORDER TERMS
All trade accounts will be opened with the company’s invoicing information. For companies based in the EU, this information must include a valid company VAT number. As required by law, if a company does not have a valid VAT number, the applicable Portuguese VAT (IVA) tax will apply to the total amount of the order. Tales Tailors reserves the right to consider a Proforma Invoice only valid for thirty (30) days. To place an order with Tales Tailors, a 50% deposit is required. For production to start, it is also required that (i) all order specifications (including finishings’ selection) are communicated and confirmed by the customer; (ii) Tales Tailors’ bank confirms the reception of the pre-payment. The remaining 50% (open balance) must be paid before shipping; shipment is only authorized once the bank has confirmed payment of the outstanding balance. All products are Tales Tailors’ property until payment in full is received. Tales Tailors reserves the right to require a 100% payment in advance for first orders. Documents such as Certificate of Origin, Invoice Authentication, SASO Certificate, or EUR.1 can be provided upon written request. These documents have inherent issuing costs which will be analyzed on a case-by-case basis and charged to the client.
11. STORAGE POLICY
If an order is not fully paid and/or the collection of the products takes longer than twenty (20) business days after the order is made available to the customer, a storage fee of forty euros (40€) per day will apply. The order will not be released for collection until the fees and the remaining open balance are paid. In case the products are not cleared and collected within one hundred and twenty (120) calendar days after the order is made available to the customer, Tales Tailors will consider that the customer has lost interest in the products, which will return to Tales Tailors' full property. In case this occurs, Tales Tailors reserves the right to sell the products or give them the use deemed appropriate at its free discretion.
12. SHIPPING AND DELIVERY
Tales Tailors’ products are Ex-Works (EXW). Collection and shipping shall be made by the carrier/agent/transport company of the customer’s choice, unless otherwise expressly stated in writing on the order. The title passes to the customer when the products are collected by the carrier/agent/transport company. Tales Tailors is not responsible and cannot be held liable for loss or damage in transit, handling, or shipping. Tales Tailors may provide transport quotes upon written request by the customer on a Delivered-at-Place (DAP) basis. Please refer to the Incoterms® 2020 Rules. All transportation arranged by Tales Tailors is insured. Transport fees are charged separately from the product(s) price, in case transport is arranged by Tales Tailors. Standard shipping quotation includes door-to-door, drop-off service only, meaning that the transporter will unload the goods at the customer’s indicated address door, at street level (will not enter the building or climb stairs). If a different service or an urgent/express delivery is required, the customer must explicitly request this when placing the order and will be charged accordingly. When the transport is arranged by Tales Tailors, every effort will be made to ensure that the service is carried out as swiftly as possible. However, since transportation will be carried out by an external freight forwarder, Tales Tailors cannot guarantee transit times or be held responsible for any delays. All products are subject to quality control, carefully packed, and inspected before shipment. If damages occur due to the handling of the goods by the carrier, they must be claimed to the carrier/agent/transport company, by the customer.
13. DAMAGE CLAIMS
All Tales Tailors’ products are photographed, carefully packed, and subject to thorough quality control before shipment. When the transport of an order is carried out on an Ex-Works (EXW) basis (Incoterms® 2020), the products’ title passes to the customer at the time the products are picked up at the place designated for collection by the customer’s assigned carrier/agent/transport company. Tales Tailors is not liable for any damage caused during the handling, loading, or unloading of the order by any person acting on behalf of the customer, or for loss and damage in shipping. If visible or concealed damage occurs during transit, the carrier must be notified immediately, expressly mentioning the intention to file a claim. In such a situation, Tales Tailors will support the customer in finding the best suitable solution. When the transport service is arranged and/or hired by Tales Tailors, it is required that the customer performs a thorough verification of the packages and products upon delivery. The Proof of Delivery (POD) must be signed by the customer or the receiver of the goods. Failure to mention visible or concealed damage may invalidate any subsequent claim. In case of visible damage to the products and/or packaging, the customer must mention and highlight the damage(s) on the POD. The refusal of damaged products in no way exempts the customer from responsibility for paying for the products. Should visible or concealed damage occur in transit, the customer must immediately notify the delivering carrier, expressly mentioning the intent to file a claim. Photographic and video evidence of all visible and apparent damages should be taken for claim purposes. In case there are no visible damages on the packages, the customer must mention the following on the POD: “I have received the order and the conformity of the products will be checked.” If damage is found, the Customer must, within 48 hours after receiving the goods, notify the carrier of that fact by means of a formal claim, along with photographic evidence of the detected damage(s). In this case, the customer must also notify Tales Tailors within the same period of 48 hours after the receipt of the goods, along with photographic evidence of the detected damages, which must be done in writing and sent via email to hello@mavoatelier.com. In case the report is not communicated within 48 hours of receiving the goods, the claim shall be refused by Tales Tailors. Whenever some damage is detected upon receipt, the customer must keep the damaged products at the place of destination and keep the original packaging in good condition for further confirmation. Keeping the original packaging is a condition for Tales Tailors to eventually accept the claim, which will be refused without the same. In case evidence unambiguously shows that the damages have been caused during transportation arranged and/or hired by Tales Tailors, the claim will be accepted and, if the product is to be replaced, Tales Tailors shall agree with the customer the period needed for that effect.
14. RETURN AUTHORIZATION
Tales Tailors operates a no-refund policy. No returns will be accepted without prior written consent from Tales Tailors, due to the specific nature of each order. Unauthorized returns will be refused at the customer’s expense. For authorized returns, we will provide all the information needed. When a return is authorized, the customer must ensure the product is properly packed. If further damage to the product occurs from inadequate packaging, Tales Tailors reserves the right to charge the repair costs to the customer.
15. ORDER CANCELLATION
Products are manufactured upon receipt of the order and deposit. Cancellations will not be accepted after 5 working days from the initial 50% deposit. Cancellations are only valid upon written consent from Tales Tailors. Tales Tailors will retain 30% of the total order as a cancellation fee for all cancellations received after the previously mentioned 5 working day period.
16. WARRANTY AND DEFECTS
Tales Tailors warrants all products to be free of defects in material and workmanship for two (2) years from the date of the final invoice. The warranty does not cover customer’s own material (COM) or components not manufactured by Tales Tailors. The warranty does not cover second purchasers of the products nor distressed products by display use or display samples. Tales Tailors accepts no liability for any improper handling, misuse and/or excessive wear, which automatically voids the warranty. Products experience aging that may vary depending on exposure to light, heat, humidity, natural wear and tear, and their conservation by the customers/users. Tales Tailors’ warranty excludes damages resulting from humidity or fading caused by exposure to excess light or heat, soiling, improper cleaning, abnormal use, or accident. While Tales Tailors makes its best efforts to provide the most adequate suggestions for the proper usage and conservation of the products, their correct usage and conservation are the customer’s sole responsibility. Should the customer find any defect, the following procedure must be taken, otherwise the warranty will be excluded:
1. A written report with photographic evidence of the defect found on the product must be sent via email to info@mavoatelier.com; 2. After receipt of the complaint, Tales Tailors may request additional information to determine the existence and cause of the defect claimed; 3. Within five (5) business days from receipt of the complaint, Tales Tailors shall notify the customer of the defect’s acceptance or refusal. In case of refusal, Tales Tailors shall disclose the motives and grounds for its choice; 4. In case of acceptance of the defect, and following a case-by-case analysis, Tales Tailors may choose to repair, restore or replace the defective parts and shall indicate to the customer the time required for repair, restoration, or production of the new parts; 5. Considering the specific nature of the marketed products, during the repair, restoration, or production period, Tales Tailors will not provide temporary replacement parts or pieces. The customer shall not undertake any repair or replacement measure on its own without the prior express written consent of Tales Tailors, and such measures must be in accordance with the terms determined and accepted by Tales Tailors. Any action undertaken by the customer on the treatment of defects without Tales Tailors’ consent will void the warranty and cannot be charged to Tales Tailors. Where Tales Tailors, at request, agrees to bear the cost of repairing the defect by a customer-chosen repairer, Tales Tailors shall be relieved of any warranty liability for the components of the repaired parts and of the effect such repair may have on the product’s structure.
17. INTERNET AND DISTRIBUTION POLICY
Online dealer platforms cannot advertise, nor in any way display Mavo Atelier’s name, logo, products, graphic content, or any other company information without prior written consent from Tales Tailors. Please contact hello@mavoatelier.com for further company guidelines on content and internet usage. Tales Tailors reserves the right not to sell, or continue to sell, with or through any dealer or agent whose distribution or sales tactics result in a negative effect on Tales Tailors’ ability to compete and sell in a specific region.
18. FORCE MAJEURE
Tales Tailors shall not be liable for delays in an order’s completion, shipment, or default in delivery for any reason of force majeure or for any cause beyond Tales Tailors’ reasonable control including, but not limited to natural disasters, government action, war, riots, civil commotion, embargoes, martial laws, strikes, shortage of labor, shortage of materials, accidents, product delay, contingencies of transportation, delays in transit, fire, flood or other casualties. Tales Tailors is not responsible for such events and will make every reasonable effort to ship the products once the delay is rectified.
19. ERRORS, INACCURACIES AND OMISSIONS
In the case of typographical errors, inaccuracies, or omissions that may relate to product descriptions, finishings, pricing, promotions, offers, shipping charges, transit times, and availability, Tales Tailors reserves the right to correct any errors, inaccuracies or omissions, and to change/update information or cancel orders. If any information is inaccurate, these corrections may occur at any time, without prior notice.
20. INTELLECTUAL PROPERTY
All rights reserved. Tales Tailors’ products cannot be duplicated, copied, reproduced, distributed, published, and/or used for any commercial, marketing, or advertising activity, or transmitted in any form or by any means, including prototyping, 3D drawings, or other electronic or mechanical methods, without the prior written permission by Tales Tailors. A payment confirmation receipt should be sent to hello@mavoatelier.com, always referring to the Proforma Invoice number. Without this, it may take additional time to identify payments, which may cause a delay in starting production and/or shipping completed orders. Check payments and VISA cards are not accepted.
22. GOVERNING LAW AND JURISDICTION
All disputes, differences, or questions between Tales Tailors, the customer, and/or any third parties directly or indirectly related to any matter arising from the contractual relationship established between Tales Tailors and the customer shall be governed by and construed in accordance with the substantive laws of Portugal, disregarding any law concerning choice of law.
